These Terms of Service govern your access to and use of the Askew AI website at https://askew.ai (the "Website"). The Website is for marketing and informational purposes only. Our work with clients is governed by separate written agreements, not by these Website terms.

Acceptance of Terms

These Terms of Service ("Terms") form an agreement between you and Askew AI ("Askew AI," "we," "us," or "our") regarding your use of the Website. By accessing or using the Website, you agree to these Terms. If you do not agree, please do not use the Website. Our Privacy Policy explains how we collect and handle personal information.

Marketing and Informational Purposes Only

The Website introduces Askew AI, our capabilities, our team, and examples of our work. It may include articles, case studies, interactive demonstrations, and ways to contact us or discuss a potential project. It is not a subscription software platform or a contract for the delivery of client services.

Website content, demonstrations, project estimates, and AI-generated responses are illustrative and do not constitute a binding offer, a guarantee of results, or legal, financial, or other professional advice. You should independently evaluate information before relying on it. Submitting an inquiry, requesting a proposal, or interacting with a demonstration does not establish a client relationship or obligate either party to proceed with a project.

Client Agreements: MSAs, SOWs, and Security Policies

Any engagement for consulting, design, development, AI implementation, or other client services requires separate written agreements between Askew AI and the client. These may include a Master Services Agreement ("MSA"), one or more Statements of Work ("SOWs"), and applicable Security Policies, as well as confidentiality agreements, data processing agreements, or other agreed terms (collectively, "Client Agreements").

• MSAs establish the general terms of the client relationship, including the parties' rights and responsibilities.
• SOWs define the specific scope, deliverables, schedules, fees, and acceptance criteria for an engagement.
• Security Policies and related agreements define applicable security, data handling, access, and compliance requirements to the extent incorporated into or agreed under the Client Agreements.

These Terms do not replace, amend, or override any Client Agreement. If these Terms conflict with an applicable Client Agreement regarding client services, the Client Agreement controls. Any order of precedence among an MSA, SOW, Security Policy, or other client document is determined by those agreements, not by these Terms.

Fees, payment terms, confidentiality, ownership of deliverables, client data, security obligations, service levels, warranties, liability, and termination for client services are governed by the applicable Client Agreements. General statements on the Website do not create additional contractual commitments or modify those obligations.

Eligibility

You must be at least 18 years old and able to form a binding contract to use the Website. If you use the Website on behalf of an organization, you represent that you have authority to accept these Terms for that organization. You agree to provide accurate information when communicating with us.

SMS / Text Messaging Terms

If you separately opt in to an Askew AI SMS or text messaging program, the following terms apply to that program. Merely visiting the Website, accepting these Terms, or providing a telephone number does not constitute consent to receive marketing text messages.

Program Description and Consent

Depending on the program you opt in to, messages may include responses to inquiries, appointment scheduling and reminders, follow-ups, support, and, with your express consent, promotional or marketing updates. Your opt-in authorizes the messages described at the point of consent, which may include recurring automated text messages. Message frequency varies. Consent to marketing messages is not a condition of purchasing any goods or services.

Message and Data Rates

Message and data rates may apply according to your wireless carrier plan. Contact your wireless carrier for details about applicable charges.

Opt-Out and Help

You can opt out of an SMS program at any time by replying STOP to a message. You may receive a one-time confirmation of your opt-out; no further messages will be sent under that program unless you provide a new opt-in. For help, reply HELP or email info@askew.ai. Do not submit another person's mobile number or opt them in without the required authorization and consent.

Delivery and Carriers

Message delivery depends on your wireless service provider and is not guaranteed. Carriers are not liable for delayed or undelivered messages.

Messaging Privacy

Mobile information, SMS opt-in data, and consent will not be sold, rented, or shared with third parties or affiliates for their marketing or promotional purposes. Information may be shared with service providers only as needed to operate and deliver the messaging program. See our Privacy Policy for more information.

Acceptable Use

You agree not to use the Website to:

• Violate any applicable law, regulation, or third-party intellectual property or privacy right.
• Submit unlawful, harassing, defamatory, fraudulent, or misleading content or communications.
• Impersonate another person or misrepresent your identity, affiliation, or authority.
• Send spam or submit another person's information without the necessary rights and consent.
• Attempt to gain unauthorized access to our systems, networks, or restricted areas.
• Introduce malware, interfere with Website operation, or circumvent security measures.

You may view and use the Website for your personal or internal business evaluation of Askew AI. No ownership rights or rights to use our trademarks are granted. Ownership and licensing of client deliverables are addressed in the Client Agreements.

The Website may link to or use third-party websites, tools, or services. Your use of them is subject to their own terms and privacy policies. Askew AI does not control and is not responsible for third-party content, availability, or practices. A link or reference does not, by itself, imply an endorsement or make a third party a party to these Terms.

No Website Fees or Service Commitments

Browsing this marketing Website does not create a payment obligation, subscription, or commitment to purchase services. Any fees, expenses, taxes, payment schedules, or refund terms for client work must be set out in the applicable Client Agreements.

Disclaimer of Warranties

To the maximum extent permitted by law, the Website and its content are provided "as is" and "as available," without express, implied, or statutory warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Website content will be complete, accurate, or current, or that the Website will be uninterrupted, error-free, or free of harmful components. This disclaimer applies only to the Website and does not alter any warranty or security obligation in a Client Agreement.

Limitation of Liability

To the maximum extent permitted by law, Askew AI and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, use, or goodwill arising from your access to, use of, or inability to use the Website or your reliance on its content. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Liability relating to client services is governed by the applicable Client Agreements, not by this Website limitation.

Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Askew AI and its officers, directors, employees, and agents from third-party claims, damages, liabilities, costs, and reasonable legal expenses arising from your unlawful use of the Website, your violation of these Terms, or your infringement of a third party's rights. Indemnification for client services is governed by the applicable Client Agreements.

Website Availability and Termination

You may stop using the Website at any time. We may modify, suspend, or discontinue any part of the Website or restrict access if we reasonably believe you have violated these Terms or created a security or legal risk. Provisions that by their nature should survive will remain in effect. Changes to Website access do not, by themselves, terminate or change a Client Agreement.

Governing Law and Disputes

These Terms and disputes concerning the Website are governed by the laws of the State of Texas, without regard to conflict of laws principles. Subject to any mandatory rights under applicable law, disputes arising out of these Terms or the Website are subject to the exclusive jurisdiction of the state and federal courts located in Dallas County, Texas. Dispute resolution provisions in a Client Agreement continue to govern disputes under that agreement.

Changes to These Terms

We may update these Terms from time to time by posting a revised version and updating the "Last Updated" date above. Where required, we will provide additional notice. Changes apply prospectively from their stated effective date, or from posting if no later date is stated. Your continued use of the Website after changes take effect constitutes acceptance of the revised Terms. Updates to these Terms do not amend Client Agreements.
